Important: By using Tide Protocol, you agree to these terms. If you don't agree, do not use the protocol. These terms govern your use of the Tide smart contracts and interface.
1. Acceptance of Terms
By accessing or using Tide Protocol ("Protocol"), including any associated websites, applications, smart contracts, or services, you agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement between you and Tide Protocol. If you are using the Protocol on behalf of an organization, you represent that you have authority to bind that organization.
2. What Tide Protocol Is
Tide Protocol is:
- Infrastructure — Non-custodial smart contracts deployed on the Sui blockchain
- Permissionless — Open to anyone with a compatible wallet
- Deterministic — Governed by immutable on-chain code
Tide Protocol is NOT:
- A bank, broker, exchange, or custodian
- An investment product or securities offering
- A collective investment scheme
- A financial advisor or fiduciary
3. Eligibility
To use Tide Protocol, you must:
- Be of legal age in your jurisdiction
- Have the legal capacity to enter into binding agreements
- Not be located in a jurisdiction where use is prohibited
- Comply with all applicable laws and regulations
You are solely responsible for determining whether your use of the Protocol complies with applicable laws in your jurisdiction. We do not perform compliance checks or restrict access by location.
4. No Financial Advice
Nothing in the Protocol, documentation, interface, or communications constitutes:
- Investment, financial, legal, or tax advice
- A recommendation to participate
- A suitability determination
- An offer or solicitation
You are solely responsible for your own decisions. Consult qualified professionals before making any financial decisions.
5. Risks
Using Tide Protocol involves significant risks, including but not limited to:
- Smart Contract Risk: Bugs, vulnerabilities, or exploits may cause permanent loss of funds
- No Guaranteed Returns: Rewards are variable and may be zero
- Irreversibility: Blockchain transactions cannot be reversed
- Staking Risk: Validator issues, slashing, or delayed unstaking
- Market Risk: Asset values may fluctuate
- Liquidation Risk: Loans may be liquidated if health factor drops
- Regulatory Risk: Laws may change in ways that affect the Protocol
You acknowledge and accept all risks. Only participate with funds you can afford to lose entirely.
6. User Conduct
You agree NOT to:
- Use the Protocol for any illegal purpose
- Attempt to exploit, hack, or manipulate the smart contracts
- Interfere with other users' access to the Protocol
- Use automated systems to abuse the Protocol
- Misrepresent your identity or affiliation
- Violate any applicable laws or regulations
7. Intellectual Property
The Tide Protocol smart contracts are open source. The interface, branding, documentation, and other materials are proprietary and protected by intellectual property laws.
You may not use Tide Protocol trademarks, logos, or branding without explicit permission.
8. Third-Party Services
The Protocol may interact with third-party services including:
- Wallet providers (Sui Wallet, Slush, etc.)
- Blockchain infrastructure (Sui network)
- External data sources (DefiLlama, etc.)
We are not responsible for any third-party services. Your use of third-party services is subject to their respective terms and policies.
9. Disclaimer of Warranties
THE PROTOCOL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Protocol will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDE PROTOCOL AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR FUNDS.
Our total liability shall not exceed the amount of fees you have paid to the Protocol in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Tide Protocol and its contributors from any claims, damages, losses, or expenses arising from:
- Your use of the Protocol
- Your violation of these Terms
- Your violation of any laws or third-party rights
12. On-Chain Governance
The on-chain smart contract logic prevails over any interface, documentation, or marketing materials. In case of conflict, the smart contract code is authoritative.
A Listing Council (multisig) may perform limited governance actions such as pausing or activating listings. The Council cannot seize funds or change live economics.
13. Modifications
We may modify these Terms at any time. Changes will be posted on this page with an updated date. Your continued use of the Protocol constitutes acceptance of modified Terms.
Smart contract logic, once deployed, is immutable and cannot be modified regardless of any changes to these Terms.
14. Termination
We may suspend or terminate access to the interface at any time. The underlying smart contracts remain accessible directly on the Sui blockchain regardless of interface availability.
15. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules. You waive any right to participate in class action lawsuits.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
